These Terms and Conditions ("Terms") form a binding agreement between you and FutureDev Solutions ("we", "us", or "our") for access to HaidiAI and related websites, APIs, and services (the "Service"). By creating an account, clicking accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of a school or company, you represent that you have authority to bind that organization, and "you" includes that organization.

1. The Service
HaidiAI is a multi-tenant learning platform that provides AI tutoring with curriculum guardrails, course management, progress tracking, parent and teacher visibility, messaging, and related education tools. Features, limits, and availability depend on your subscription plan and role. We may modify, add, or discontinue features with reasonable notice when the change is material, except where a change is required for security or legal reasons.
The Service is provided as software-as-a-service. We do not deliver a copy of the source code or an on-premise license unless a separate written agreement says otherwise.
2. Eligibility and accounts
- Administrators and adult users must be at least 18 years old and able to form a contract.
- Student accounts may be created by an authorized school, parent, or administrator under applicable education and privacy laws.
- You must provide accurate registration information and keep it current.
- You are responsible for credentials issued to your users and for all activity under your organization.
- Notify us promptly at [email protected] if you suspect unauthorized access.
- We may refuse, suspend, or reclaim accounts that violate these Terms.
Roles such as administrator, teacher, student, and parent have different permissions. You agree not to attempt to bypass access controls or view data outside your assigned scope.
3. Customer content and licenses
You retain ownership of data, text, files, coursework, and other material you or your users submit ("Customer Content"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Content solely to provide and secure the Service, power AI features you enable, comply with law, and follow your instructions.
You represent that you have all rights needed to submit Customer Content and that it does not infringe third-party rights or violate law. We may remove content that we reasonably believe violates these Terms or creates security, legal, or operational risk.
4. Acceptable use
You will not, and will not allow others to:
- Use the Service for unlawful, harmful, or fraudulent activity
- Probe, scan, or attack the Service, or attempt to gain unauthorized access to other organizations
- Interfere with or disrupt servers, networks, or other customers
- Upload malware, or attempt to reverse engineer the Service except as permitted by law
- Resell, sublicense, or white-label the Service except under an Enterprise agreement
- Misrepresent your identity, school, or affiliation
- Use the Service to send spam or unsolicited bulk messages unrelated to your operations
- Circumvent plan limits, rate limits, AI guardrails, or security mechanisms
- Store or process regulated data (such as PCI cardholder data or clinical PHI) unless we have agreed in writing
- Use AI features to generate or distribute prohibited content, cheat in ways that violate school policy without authorization, or harass others
5. Subscriptions, fees, and taxes
Paid plans are billed according to the prices shown at purchase or in an order form. Free trial or free plan usage is limited as described in the product. Unless an order form says otherwise, subscriptions renew for successive terms until cancelled.
- Fees are due in advance and are non-refundable except where required by law or an order form.
- Overage, additional seats, or organizations may require an upgrade.
- You are responsible for applicable taxes. Fees are exclusive of taxes unless stated otherwise.
- Late amounts may result in suspension after notice.
- We may change list prices for a renewal term with prior notice.
If you cancel, you may use the Service until the end of the then-current term. We do not provide prorated refunds for unused time unless required by law or a written agreement.
6. Beta features and third-party services
We may offer preview or beta features. They are provided as-is, may be unstable, and may be withdrawn at any time. The Service may integrate with email providers, Redis, Firebase, AI model providers, payment processors, or other third parties. Those services are governed by their own terms. We are not responsible for third-party outages or policy changes.
7. Intellectual property
We and our licensors own HaidiAI, including software, designs, documentation, trademarks, and all improvements. Except for the limited right to use the Service during your subscription, no rights are granted. You may not copy, modify, or create derivative works of the Service. Feedback you provide may be used by us without restriction or compensation.
8. Confidentiality
Each party may receive non-public information from the other. The receiving party will use that information only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and providers who need it and are bound by confidentiality obligations, or as required by law after giving notice where legally permitted.
9. Privacy and data protection
Our handling of personal data is described in the Privacy Policy. You are the controller of personal data you upload about students, parents, staff, or other individuals, and you must have a lawful basis to do so. You will obtain any required parental or school consents for minors before creating accounts or submitting their data.
10. Service availability and support
We aim to keep the Service available and will use commercially reasonable efforts to address incidents. Unless an Enterprise SLA is signed, the Service is provided without guaranteed uptime. Scheduled maintenance will be performed with reasonable notice when practical. Support channels and response times vary by plan.
11. Warranties and disclaimers
EACH PARTY REPRESENTS THAT IT HAS THE LEGAL POWER TO ENTER INTO THESE TERMS. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR EVERY EDUCATIONAL CONTEXT. YOU REMAIN RESPONSIBLE FOR SUPERVISION AND ACADEMIC DECISIONS.
12. Indemnification
You will defend and indemnify FutureDev Solutions and its officers, employees, and agents against claims, damages, and expenses (including reasonable attorneys' fees) arising from Customer Content, your use of the Service in violation of these Terms or law, or a dispute among your users. We will defend you against a third-party claim that the unmodified Service infringes a copyright or patent, and we may modify the Service, obtain a license, or terminate the affected part with a refund of prepaid unused fees. This infringement obligation does not apply to combinations, customer instructions, or content you provide.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD, OR ONE HUNDRED U.S. DOLLARS IF YOU ARE ON A FREE PLAN. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNITY, YOUR BREACH OF ACCEPTABLE USE, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
14. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access immediately if you materially breach these Terms, fail to pay, create a security risk, or if we are required to do so by law. Upon termination, your license ends. We may delete Customer Content after a reasonable waiting period, so export what you need before cancellation. Sections that by nature should survive (including IP, confidentiality, disclaimers, indemnity, and liability limits) will survive.
15. Publicity
We will not use your school or company name or logo in marketing without permission, except to identify you as a customer in a factual list unless you opt out by emailing [email protected].
16. Export, government, and compliance
You will not use the Service in violation of export control, sanctions, or anti-corruption laws. The Service is commercial computer software. Government users receive only the rights granted to all other customers under these Terms.
17. Changes to these Terms
We may update these Terms by posting a revised version. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel your subscription.
18. Governing law and disputes
These Terms are governed by the laws applicable to FutureDev Solutions's principal place of business, excluding conflict-of-law rules, unless a mandatory consumer or local law says otherwise. Courts in that jurisdiction will have exclusive venue, except that we may seek injunctive relief in any court of competent jurisdiction. Before filing a claim, the parties will attempt good-faith resolution for 30 days after written notice.
19. General
These Terms, the Privacy Policy, and any order form are the entire agreement and supersede prior discussions. If there is a conflict, an executed order form controls, then these Terms, then the Privacy Policy. You may not assign these Terms without our consent, except to an affiliate or successor in a merger or sale of substantially all assets. We may assign to an affiliate or successor. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. There are no third-party beneficiaries except as stated for indemnified parties.
